What is the GROUNDFLOOR 2019 Stock Offering?
GROUNDFLOOR’s 2019 Stock Offering is an offering of common stock in GROUNDFLOOR Finance, Inc. Your investment in the company will support our mission to level the playing field for all investors. If you haven’t already done so, we strongly encourage all investors to review our Offering Circular on file with the U.S. Securities & Exchange Commission.

Is there a minimum/maximum amount of shares to be purchased?
Yes - similarly to our previous stock offering, the minimum number of shares that can be purchased is 10. There is no maximum.

What is the current valuation of GROUNDFLOOR?
Last year, we sold common stock for $10 with a valuation of $27 million. Our current valuation is $50.3 million based on a multiple of booked and realized revenue. We established the multiple during our 2018 Stock Offering based on an analysis of offerings from Fundrise and StartEngine, the two most comparable private company offerings for which data was available.

When can I expect a return on my stock purchase?
Stock ownership of GROUNDFLOOR is a long-term investment of equity in our company. If you haven’t already done so, we strongly encourage all investors to review our Offering Circular on file with the U.S. Securities & Exchange Commission. If the company succeeds, the most likely liquidity scenarios for investors are:

  1. Acquisition by another company;

  2. Listing on a public stock exchange; or

  3. Distributions from the company in the form of dividends or other kinds of disbursements.

However, these events, if they are to occur, may not occur for some time. As such, those who choose to invest in our stock offering should be prepared to have their money invested and therefore unavailable for some time. As we grow our business, we will have a better idea of which solutions are best for the company and our Shareholders.

Is it possible to sell my existing shares of GROUNDFLOOR?
Investors may be able to transfer ownership their shares to another party on their own accord; however, GROUNDFLOOR must be notified of the transfer by both parties in writing, otherwise GROUNDFLOOR will not re-register any shares and the transfer of ownership may be deemed invalid. What is the difference between the 2019 Stock Offering and an investment in a GROUNDFLOOR LRO, Notes or other products? Am I able to transfer funds between the two?
In a few words, the purchase of stock from our 2019 Stock Offering is an investment in the company itself. An investment in one of our products is an investment in a particular loan or other real estate security on our platform. Also, the GROUNDFLOOR stock is a long-term investment and is not liquid. As such, it is not possible to transfer funds between the two. 

Am I able to cancel my investment in GROUNDFLOOR stock?
If you did not intend to purchase GROUNDFLOOR stock, you may cancel your investment anytime before your investor documents are generated at closing. However, once your stock agreements are generated and delivered to your Investor Account, you will no longer be able to cancel your investment. We anticipate closing documents for our 2019 Stock Offering every two weeks.

Does GROUNDFLOOR charge any investor fees?
We do not currently charge any investor fees on our platform. Purchasing 250 shares of GROUNDFLOOR guarantees an individual will be waived of any and all investor fees that may be charged in the future. You can reach your 250-share minimum for free lifetime investing by any combination of shares purchased in 2018 and 2019, so long as you hold at least 250 shares.

What are the benefits of being a Shareholder?
Aside from the possible long-term financial benefits, being a GROUNDFLOOR Shareholder comes with several key benefits. Our Shareholders enjoy fee-free investing for life (with a purchase of 250 shares), invitations to exclusive Shareholder-only events, opportunities to participate in Shareholder-only offerings, and Beta access to new products and features.

Where do I find proof of my GROUNDFLOOR stock purchase?
You may find proof of purchase in the summary tab of your GROUNDFLOOR Investor Account. Additionally, your Subscription Agreement and Voting Agreement can be found in the “Documents” tab under your Account Settings.

What are the terms and conditions of the Bonus Share Offer?
For a limited time, GROUNDFLOOR will offer 100 bonus shares when you purchase 1,000 shares or more, at $15 per share. This offer is valid while supplies last or until March 31, 2019, whichever occurs sooner. There is a limit of 100 bonus shares per investor at the $15 price.

Any additional shares issued by the company pursuant to the bonus share incentive have an implied value of $15 per share. You may qualify for this bonus share incentive through any combination of purchases during this promotional period, so long as the combined purchases are equal to or greater than 1,000 shares. The Bonus Share Offer is only valid for stock purchases made at $15 a share prior to 3/31/2019.
